value of my 1940 pickup

I have a relative interested in buying my 1940 ford pickup. It’s been in storage since the mid 60’s. The truck is missing the grill and hood trim and one headlight bezel. Front and rear glass need to be replaced. Front and rear cab corners are rusted. Frame was sand blasted and painted before storage. Pretty much all original parts, brakes, rea rend, front end, minus some of the nuts and bolts. Clean title. He doesn’t want to purchase the flat head or transmission. Located in southern Minnesota. What would be a fair value? I'm not looking for offers at this time. Thanks for the Help
