Default Trading '67 442 for '49 F1

I'm sure this is a prejudice crowd but I'll ask for opinions any way. Close to a deal trading my '67 442 for a pretty nice '49 F1. Probably the 442 plus $3k. 442 #'s match, mechanically right ( runs well ), good body and paint, needs interior redo. Pic's of both attached. thoughts on whether it's Fair deal?
